IT Competence Group SE held its 2020 Annual Shareholder’s Meeting on Tuesday, July 28. The event, which was attended by shareholders holding approximately 86% of the total share capital, took place completely virtually for the first time.
 
At the meeting, the Board reported in particular on the operating performance in the last fiscal year as well as the strategic plans with the new structure that is envisaged through the contribution of the audius operating companies.
 
Rainer Francisi, Chairman: “The concentration of operating business under the umbrella of IT Competence Group is a major milestone for the company and will raise it to a new level on the capital market. By changing the name of the company to audius SE, we also want to clearly signal this reorganization to the outside world.”
 
All items on the agenda were passed with 99.9% of the votes. In particular, it was agreed to increase the capital by issuing 2,800,000 new shares, in return for the contribution of the three operating companies audius GmbH, audius IT-Service GmbH, and Roton IT-Service GmbH. The contribution agreement is to be concluded in the next few days and the capital increase recorded in the next few weeks. The approved name change to audius SE and the transfer of the registered office to Weinstadt will also be completed.
