IT Competence Group SE proposes that the Annual Shareholders’ Meeting votes on the acquisition of the operating subsidiaries of audius as part of a capital increase in exchange for the issuing of new shares. Change of name to audius SE and change of registered office are planned.
 
The Board and Supervisory Board of IT Competence Group SE today proposed that the company’s Annual Shareholders’ Meeting votes on the acquisition of audius GmbH, audius IT-Service GmbH, and IT-Service GmbH (“audius target companies”), all of which are wholly owned subsidiaries of audius AG, as part of a capital increase, excluding the purchase rights of the shareholders. The key points of the transaction were agreed upon with the Board and the Supervisory Board of audius AG.
 
The capital increase is to take place in exchange for the granting of 2,800,000 new shares at an issue price of EUR 8.90 per share to audius AG. This is based on a valuation of the audius target companies at EUR 24,920,000.
 
The audius target companies had a consolidated overall performance of EUR 26.6 million in 2019 with an EBITDA amounting to EUR 2.2 million and an EBIT of EUR 2.0 million. IT Competence Group intends to significantly enhance its earnings indicators through this acquisition. The transaction will also have a positive impact on the balance sheet figures.
 
To signal the new structure clearly outside the company, the Board will propose at the Annual Shareholders’ Meeting that the name of the company be changed to “audius SE” and that the registered office be transferred to Weinstadt, near Stuttgart, which is where the main audius companies have their registered offices.
 
The company will publish the invitation to the Annual Shareholders’ Meeting on July 28, 2020 in the next few days. With the approval granted by the Supervisory Board today, the Annual Shareholders’ Meeting will be a fully virtual event.
