LUDWIGSBURG – March 31, 2020

The Board of IT Competence Group SE, an IT and telecommunications service provider listed in the m:access segment on the Munich Stock Exchange, decided today in agreement with the Supervisory Board to examine the options for a merger with the business operations of the audius Group under company law and prepare its implementation. The audius Group is the majority shareholder and provides services in the areas of software, security and audit services, consulting, and managed services.
 
The aim is to bundle the operating activities of the audius Group and IT Competence Group under the umbrella of IT Competence Group SE. The planned merger is supported by the Board of IT Competence Group SE as well as the Board and shareholders of audius AG. At present, it is likely that the operating subsidiaries of audius AG will contribute to IT Competence Group SE in the form of a capital increase. The Board is examining alternative variants in parallel.
 
The intended merger under company law would create a single group with an annual sales volume of more than EUR 50 million and more than 500 employees.
 
The Board will examine options for the merger under the umbrella of IT Competence Group SE in the next few weeks. Valuation reports for the companies to be acquired will be created in the process. The company intends to call for a vote on the specific implementation at the Annual Shareholders’ Meeting, which is likely to take place in July.
